Purchase terms – website

1. General

This website is operated by Coral Studios Ltd. (Hebrew: אולפני קורל בע"מ) (the "Company"), and is used to purchase licenses to use software products, digital products and physical products, including products manufactured by 3D printing (together: the "Products"). These terms govern the relationship between the Company and any person who makes a purchase on, or uses, the website or any of the Products (the "Customer" / the "User").

The Hebrew original of these terms is written in the masculine form for convenience only and is addressed equally to all genders. Making a purchase or using the website constitutes acceptance of these terms. Please read them carefully before purchasing.

2. Eligibility and age restriction

Purchases on the website are permitted to persons aged 18 or over who have the legal capacity to enter into a binding agreement and hold a valid means of payment registered in their name. A person under 18 may make a purchase only with the approval and under the supervision of a parent or legal guardian. Making a purchase constitutes the Customer's declaration that they meet these conditions.

3. The Products, licenses and product-specific terms

The Products include software and digital services, including Coral Cue Pro, Coral StageTimer and ZO-Donations, as well as 3D-printed physical products. Each Product's description, price, availability, dimensions, materials, system requirements, license type, usage plans and other commercial terms are shown on that Product's purchase page.

The terms specific to each software product are set out in sections 15 onward of these terms, and on the product page. In the event of a conflict between sections 1–14 and the section for a particular Product, the Product's section prevails with respect to that Product only.

Unless stated otherwise on the product page, a software license is personal and may not be transferred, rented or sublicensed to a third party without the Company's written approval.

4. Prices and payment

Prices shown on the website are stated in New Israeli Shekels (₪) and include VAT as required by law, unless expressly stated otherwise. The Company may update prices from time to time; the binding price is the price shown on the purchase page at the time the order is completed. Payment is made by a secure means of payment; credit card details are processed by a licensed payment processor and are not stored on the Company's servers.

5. Delivery of digital products

Digital products involve no physical shipping and no shipping fees. After payment is completed and the transaction is approved, a download link and/or activation key and/or access details will be sent to the email address provided at the time of purchase — immediately, and no later than within 3 business days, unless stated otherwise on the product page.

6. Manufacture, supply and shipping of physical products

Physical products may be made to order by 3D printing. The production time, preparation time, shipping method, shipping cost and the option of self-pickup, if available, will be stated on the product page or during ordering. Delivery dates are a reasonable estimate and do not include delays beyond the Company's control, including delays by the shipping company.

The Customer is responsible for providing complete and accurate shipping details. Risk in the product passes to the Customer upon delivery to the Customer or to someone on the Customer's behalf, subject to the Customer's rights under law.

7. Characteristics of 3D printing and safety

3D-printed products may show reasonable differences in color, texture, layer lines and finish compared with the photos or renderings on the website. These differences are part of the nature of the manufacturing process and do not necessarily constitute a defect.

Each product must be used in accordance with its intended purpose and the instructions on the product page. Unless expressly stated otherwise on the product page, products are not intended for contact with food, for medical use, for safety use, or for use by children without adult supervision. Do not use a defective or broken product.

8. Customized products

A product that includes a choice of color, size, lettering, design or customization at the Customer's request may be considered a custom-made product. Before production begins, the Customer may contact the Company to request a change or cancellation; after production has begun, cancellation, refund or change will be considered in accordance with the law and the circumstances of the order.

It is the Customer's responsibility to check the customization details they provided before completing the order. The Company is not responsible for errors in details provided by the Customer, but will try, where possible, to assist before production begins.

9. Cancellation, returns and defects

Cancellation of a transaction, returns and refunds will be handled in accordance with the Israeli Consumer Protection Law, 5741-1981, and the regulations enacted under it. A request must be sent in writing to info@zoom-out.co.il, stating the order details.

For digital products and for information that can be recorded, copied or downloaded, there may be exceptions to the right of cancellation once downloading, activation or delivery of access has begun — all in accordance with the law. The special cancellation terms for each software product are set out in its own section (section 15 onward). If a physical product arrives defective, incorrect or damaged in shipping, please contact the Company promptly and attach a description and photos of the product and the packaging, to allow inspection and handling.

For a renewing subscription, where a particular Product has one, renewal may be cancelled in accordance with that Product's terms and the law. Where a transaction is cancelled for a reason other than a defect, the Company may charge a cancellation fee as provided by law. Where a transaction is cancelled due to a defect or non-conformity, a refund or appropriate remedy will be provided in accordance with the law.

10. Warranty and limitation of liability

The Company makes reasonable efforts to provide products that are sound and working. However, the Products are provided "AS-IS", and the Company does not undertake that they will operate without interruption or faults in every hardware, software or communications environment, or that a physical product will be suitable for a use not stated on the product page.

Subject to any law that cannot be contracted out of, the Company and/or anyone on its behalf will not be liable for any direct or indirect damage, including loss of data, loss of profit, damage to property, a fault during a production, performance or event, or improper use of a Product. Responsibility for assessing whether a Product suits the User's needs, and for its use, rests with the User.

11. Intellectual property

All intellectual property rights in the Products, the source code, the design, the models, the trademarks and the website content are reserved exclusively to the Company. The Products, or any part of them, may not be copied, reproduced, distributed, reverse-engineered or used commercially without the Company's prior written consent. Content that the Customer uploads to the software (graphics, fonts, logos and names) remains the property of the Customer or of its rights holders, and the Customer is responsible for having the right to use it.

12. Privacy and information security

The Company collects the details required for carrying out a purchase, production, product delivery, shipping, service and support — including name, email address, phone number and shipping address. Billing details are processed through a secure payment provider. When a software license is activated, only the details needed to verify the license are sent to the Company's licensing server, as set out in each software product's section. The Company uses the information for operating the website, supplying the Products, providing service and fulfilling its obligations under law.

The information will not be disclosed to a third party except as required for these purposes or under a legal obligation. You may contact info@zoom-out.co.il to request to review, correct or delete personal information, subject to the law. The website may use cookies for operation and to improve the user experience.

13. Changes to these terms, governing law and jurisdiction

The Company may update these terms from time to time, and the updated version published on the website is the binding version. These terms, and anything arising from them, are governed exclusively by the laws of the State of Israel, and exclusive jurisdiction over any dispute is vested in the competent courts of the Tel Aviv-Jaffa / Central district.

15. ZO-Donations

ZO-Donations is software for Mac computers for fundraising evenings. The software takes in donations and pledges entered by the Customer and those acting on its behalf (fundraisers and stations), and displays them on screens in the venue. The software runs on the Customer's computer and works over the local network, without depending on the internet during the evening.

The software does not process payments and does not transfer money. It only displays and records amounts. Collecting the donations, receipts, reporting to the authorities and compliance with the laws that apply to fundraising are the sole responsibility of the Customer.

The license:

• One license covers one fundraising evening, on up to two computers: a main computer and a backup computer.
• The license is valid within a time window set when it is activated: the start time of preparations, the event hours and a short closing margin. Outside the window, reports can be viewed and data exported, but new donations cannot be taken in.
• Activating the license requires an internet connection once, in advance. The date and hours of the evening are set at the first activation; changing the date afterwards is done by contacting the Company.
• Preparing the evening (design, fundraisers and testing) is possible without a license, in the demo evening included in the software (up to 24 donations, with a watermark).

Free trial: One trial per email address and per computer: two evenings over 30 days, up to 24 donations per evening. The trial is activated with a verification code sent by email, with no payment and no credit card details, and is intended for getting to know the software before purchase.

Evening data:

• Evening data (donor names, amounts, and contact details if collected) is stored only on the Customer's computer and in the backup destinations the Customer chooses. The Company does not receive, store or process this data.
• Only the following are sent to the licensing server: the activation code, an encrypted identifier of the computer, the operating system, a computer name chosen by the Customer, and, for a trial, the email address.
• The Customer is responsible for collecting donor details in accordance with the law, for securing the computer and for making backups. The Company cannot recover data lost from the Customer's computer.
• The software displays donor names on a public screen. The Customer is responsible for obtaining donors' consent to this, and for marking "anonymous" (no name) when a donor requests it.

Updates: The Company may release new versions. The software notifies about a new version, and the update is performed only with the Customer's approval. The Company does not undertake to support old versions of macOS. It is recommended not to update on the day of the evening.

Cancellation: A license that has not yet been activated may be cancelled within 14 days of the transaction date, in accordance with section 9. After the license has been activated on a computer, the right of cancellation may not apply, in accordance with the statutory exception for information that can be recorded or copied. The demo evening and the free trial make it possible to get to know the software before purchase.

16. Coral Cue Pro

Coral Cue Pro is downloadable software (for macOS, and later also Windows) for managing timing, cues and display on stage screens for productions and performances. The software is sold as a digital license to use, in the plans shown on the purchase page, including: a free 7-day trial, short-term rental, a monthly subscription and an annual subscription.

Cancellation: The Customer may cancel the transaction by written notice to info@zoom-out.co.il, stating the order details, within 14 days of the transaction date, subject to the exceptions set by law. Because the product is "information" that can be recorded and copied, the right of cancellation may not apply once downloading or activation of the software has begun. The Customer is therefore offered a free 7-day trial period to get to know the product fully before purchase.

A renewing subscription (monthly/annual) may be cancelled at any time; the cancellation takes effect at the end of the current billing period, and the Customer will not be charged for the following period. Cancellation does not entitle the Customer to a pro-rata refund for the period already paid for, unless the law provides otherwise.
